General Terms of Use for the Tipaw website

Article 1: Object

SA FLIPAW (operating under the trade name "TIPAW") is a platform aimed at bringing together professionals from the animal world to connect them with individuals. The three services offered are breeder listing, dog adoption from breeders, and connecting with groomers and veterinarians.

For the purposes of these General Terms and Conditions of Sale (hereinafter, "General Terms"), the following definitions have the following meanings:

1. "Adopter": Any individual acting for purposes outside of their commercial or professional activity;

2. "Tipaw Pro Client": Any client of the grooming and veterinary services offered on Tipaw.

3. "Breeder": Any natural or legal person (B2C or B2B) entering into a contractual relationship with Flipaw, acting for commercial purposes.

Article 2: Acceptance

All our services are exclusively subject to these general terms and conditions, to the exclusion of the general or specific terms and conditions of the Adopter, Breeder, or Tipaw Pro Client.

By using any of the services offered by Flipaw SA, the Adopter, Breeder, and Tipaw Pro Client acknowledge that they have read these general terms and conditions of sale. They expressly declare that they accept them without reservation. Acceptance of these general terms and conditions is not conditional upon the handwritten signature of the Adopter, Breeder, or Tipaw Pro Client.

Tipaw reserves the right to modify and/or supplement its General Terms and Conditions of Sale at any time. We advise you to regularly read and consult our General Terms and Conditions of Sale. Any future changes will have no effect on ongoing contracts, unless otherwise stipulated by law.

Article 3: Adoption Service

Tipaw offers a connection with breeders who offer dogs for adoption. Available puppies are displayed on our website. After selecting a puppy, the Adopter must submit an application and answer a series of questions. Subject to acceptance by the Breeder, the Adopter can then contact the breeder for a fee of twenty-nine (29) euros. Payment grants access to the breeders' contact details. Various payment plans may be offered on the site. No refunds are applicable if the adoption does not proceed.

Applications to breeders require having a Tipaw account. An SMS is sent to the Adopter when their application has been accepted by the Breeder.

Article 4: "Tipaw Pro" Services

Tipaw offers a service to connect with veterinarians and groomers and make appointments. Veterinarians and groomers set their own prices.

Tipaw cannot be held responsible for any potential lack of buyers or potential clients. Tipaw cannot be held responsible for how it presents canine professionals on the website. Tipaw reserves the right to choose how it publishes canine professionals.

Appointment bookings require having a Tipaw account.

Article 5: Services: - Breeder

For Breeders, Tipaw offers two services:

- Online listing (including Google Ads listing) is offered.

- Listing of breeders

The service may include sending a reminder notification via SMS.

Article 6: Prices - Adopters

All prices are stated in € (euros) including VAT (all taxes included). For adoptions, connecting with the breeder after application costs 29 euros. We reserve the right to change our prices at any time. However, we commit to always apply the prices indicated on our website at the time of your registration.

For renewals, the price depends on the duration of the latter. Prices are displayed in euros.

Article 7: Prices - Tipaw Pro Client

Prices are set by veterinarians and groomers. They are displayed in euro (€) and include VAT (All Taxes Included).

Article 8: Payment - Adopter

Payments to connect with a breeder are to be made via Stripe.

Article 9: Cancellation

9.1 Adopter

In case of cancellation by the Adopter for an adoption, the subscription fee will not be refunded. The consumer agrees not to assert their right of withdrawal after payment based on the exception of Article 53.1 of the Belgian Economic Code.

9.2 Tipaw Pro Client

Clients must refer to the cancellation policy of veterinarians and groomers.

Article 10: Force Majeure

10.1 Adopter

In case of force majeure or reasons beyond Tipaw's control, services may be interrupted. Tipaw reserves the right - after notifying the Adopter - to suspend its services.

10.2 Tipaw Pro Client

In case of force majeure or reasons beyond Tipaw's control, services may be interrupted. Tipaw reserves the right - after notifying the Client - to suspend its services.

10.3 Breeder

In case of force majeure or reasons beyond Tipaw's control, services may be interrupted without the Breeder being entitled to a partial or total refund of the service price.

Article 11: Processing of Your Personal Data

Tipaw processes your personal data when you browse the site, but also when you create an account, respond to questionnaires, or make a reservation with a professional via our service connecting with professional veterinarians and groomers.

We always process your personal data in accordance with our Privacy Policy, available on our website.

Tipaw professionals will act as service providers for Tipaw. The professional will be called upon to process personal data entrusted to them through TIPAW, completely automatically. The professionals guarantee that they themselves comply with the applicable legal provisions on data protection (including GDPR - EU Regulation 2016/679). They undertake to process the data collected strictly within the limits of their mission and profession, and in compliance with applicable legal provisions. Professionals are not authorized to use third parties for the processing of personal data without the prior written consent of Tipaw. Professionals undertake, upon simple request from Tipaw or the individuals concerned by the personal data, to transmit, correct, update, delete, transfer, or limit in writing all personal data.

Article 12: Intellectual Property

The use of our Site and its content does not grant you any intellectual property rights over them, including Tipaw's software and all codes. "Intellectual property rights" include copyright, design rights, trademark rights, and all other intellectual property rights and material rights to the content of the site. Any content, including third-party trademarks, designs/models, and intellectual property rights mentioned or displayed on the Website, is protected by intellectual property and national laws and other provisions of international treaties. You may use the content expressly authorized by Tipaw and/or its third-party licensors. Any reproduction or redistribution of the above-mentioned content is prohibited and may result in civil and criminal penalties. Without any restriction from the foregoing, copying and use of the above-mentioned items to another server, location, or support for publication, reproduction, or distribution are strictly prohibited. However, you are authorized to make a copy for viewing the content for your personal use.

In addition to the intellectual property rights mentioned above, "Content" is defined as any graphics, photograph, including any image, sound, music, video, audio, or text available on the Website. Tipaw tries to ensure that the information on the Website is accurate.

Tipaw cannot promise that the content will always be accurate and free of errors. Tipaw also cannot guarantee that the functional aspects of the Website or the content are error-free, or that the content or the server that makes it available is free of viruses or other harmful elements. We always recommend to net users to ensure they have up-to-date antivirus software.

The personal opinions expressed by the Client Tipaw pros whose services we sell, or any other third party with whom we are associated, do not necessarily correspond to those of Tipaw, and we assume no responsibility for these opinions expressed in the media.

Article 13: Liability

The "Breeders", "Clients", and "Adopters" acknowledge and accept that all obligations of which Tipaw is a debtor are exclusively obligations of means, and that Tipaw is only liable for its fraud and gross negligence. The contractual relationships will automatically terminate in the event of bankruptcy, insolvency, or cessation of Tipaw's activities.

Tipaw reserves the right to choose how it publishes canine professionals. Tipaw hosts on its site content provided by the Client Tipaw pro. It does not edit the content and cannot be held responsible for it if it proves to be incorrect or illegal. Only mobile phone numbers, email addresses, and URLs will be automatically deleted

Within the European Union, dogs can be imported under three conditions: (1) Be microchipped (or tattooed if the tattoo was done before July 3, 2011, and remains clearly legible) (2) Be vaccinated against rabies (3) Be accompanied by a valid European pet passport

For dogs sold in France, breeders must comply with French law for the importation of dogs into France: The dog must (1) Be microchipped (or tattooed if the tattoo was done before July 3, 2011, and remains clearly legible) (2) Be vaccinated against rabies (3) Be accompanied by a valid European pet passport (4) Be at least 15 weeks old.

For dogs sold in Belgium, breeders must comply with Belgian law for the importation of dogs into Belgium: 1) Be microchipped (or tattooed if the tattoo was done before July 3, 2011, and remains clearly legible) (2) Be vaccinated against rabies (3) Be accompanied by a valid European pet passport (This passport must contain the identification data of the animal and its owner.)

For dogs sold in the Netherlands, breeders must comply with Dutch law for the importation of dogs into the Netherlands: The dog must (1) Be at least 15 weeks old (2) Have been vaccinated since 12 weeks (3) Be brought to the Netherlands after the vaccinations obtained at 12 weeks.

The above information does not bind Tipaw. In case of exporting a dog, the breeder is solely responsible for compliance with the law of the destination country.

When a visitor does not create a user account, the website is for informational purposes only. Therefore, Tipaw cannot be held responsible for the consequences of this visit.

Article 14: Applicable Law

These General Terms and Conditions of Sale, our other policies and procedures are governed by Belgian law and interpreted in accordance with it. The application of the Vienna Convention is expressly excluded.

All disputes arising out of or in connection with offers from Flipaw or agreements concluded with it are subject to the jurisdiction of the courts of the judicial district of Brussels.
