Article 1: Object

SA FLIPAW (operating under the trade name "TIPAW") is a platform aimed at bringing together professionals from the animal world to connect them with individuals. The three services offered are breeder listing, dog adoption from breeders, and connecting with groomers and veterinarians.

For the purposes of these General Terms and Conditions of Sale (hereinafter, "General Terms"), the following definitions have the following meanings:

1. "Adopter": Any individual acting for purposes outside of their commercial or professional activity;

2. "Tipaw Pro Client": Any client of the grooming and veterinary services offered on Tipaw.

3. "Breeder": Any natural or legal person (B2C or B2B) entering into a contractual relationship with Flipaw, acting for commercial purposes.

Article 2: Acceptance

All our services are exclusively subject to these general terms and conditions, to the exclusion of the general or specific terms and conditions of the Adopter, Breeder, or Tipaw Pro Client.

By using any of the services offered by Flipaw SA, the Adopter, Breeder, and Tipaw Pro Client acknowledge that they have read these general terms and conditions of sale. They expressly declare that they accept them without reservation. Acceptance of these general terms and conditions is not conditional upon the handwritten signature of the Adopter, Breeder, or Tipaw Pro Client.

Tipaw reserves the right to modify and/or supplement its General Terms and Conditions of Sale at any time. We advise you to regularly read and consult our General Terms and Conditions of Sale. Any future changes will have no effect on ongoing contracts, unless otherwise stipulated by law.

Article 3: Adoption Service

After selecting a puppy, the Adopter must submit an application and answer a series of questions.

Subject to acceptance by the Breeder, the Adopter will gain access to the adoption services offered by Tipaw in accordance with the subscription they have purchased, as described on the Website at the time of subscription.

Access to features, Breeders’ contact details, and related services depends on the active and valid status of the subscription.

No refund shall be granted if the adoption does not take place, without prejudice to the right of withdrawal set out in Article 9.

Article 4: "Tipaw Pro" Services

Tipaw offers a service to connect with veterinarians and groomers and make appointments. Veterinarians and groomers set their own prices.

Tipaw cannot be held responsible for any potential lack of buyers or potential clients. Tipaw cannot be held responsible for how it presents canine professionals on the website. Tipaw reserves the right to choose how it publishes canine professionals.

Appointment bookings require having a Tipaw account.

Article 5: Services: - Breeder

For Breeders, Tipaw offers two services:

- Online listing (including Google Ads listing) is offered.

- Listing of breeders

The service may include sending a reminder notification via SMS.

Article 6: Prices - Adopters

The adoption services offered by Tipaw are accessible through various subscriptions, each providing access to a specific set of services, including but not limited to submitting applications, accessing Breeders’ contact details, the duration of access to the service, or additional services.

The characteristics, content, and conditions of each subscription are described in detail on the Tipaw Website and form an integral part of the agreement concluded with the Adopter.

Subscription prices are indicated in euros (€), including all applicable taxes (VAT included), and are those displayed on the Website at the time of subscription.

Subscriptions are concluded without commitment and are automatically renewed unless terminated by the Adopter in accordance with these Terms and Conditions.

Tipaw reserves the right to modify subscription prices and/or structure at any time. Such changes shall not apply to existing subscriptions and shall only apply to new subscriptions.

Article 7: Prices - Tipaw Pro Client

Prices are set by veterinarians and groomers. They are displayed in euro (€) and include VAT (All Taxes Included).

Article 8: Payment - Adopter

Payment for subscriptions is processed via the secure payment platform Stripe.

By subscribing, the Adopter authorises Tipaw to perform automatic recurring charges according to the billing period selected at the time of subscription.

Payment is due immediately upon subscription and subsequently at each renewal.

The subscription is automatically renewed for successive periods of the same duration and results in an automatic charge at each billing date, unless the Adopter cancels beforehand.

The Adopter is responsible for the validity, accuracy, and updating of their payment method.

In the event of a failed payment, Tipaw reserves the right to immediately suspend access to the services until payment is regularised.

Collection attempts and payment reminders are handled automatically by Stripe.

Article 9: Cancellation

9.1 Adopter

In accordance with the provisions of the Code of Economic Law, the Adopter has the right to withdraw from the contract within fourteen (14) days of its conclusion, without giving any reason.

To exercise this right of withdrawal, the Adopter must notify Tipaw of their decision to withdraw before the expiry of the aforementioned period by means of an unequivocal statement. Such notification may be made through any means clearly expressing the Adopter’s intention to withdraw from the contract.

For this purpose, the Adopter may contact Tipaw, among other methods, by post at the following address: FLIPAW SA, Avenue de la Sapinière 51b, 1180 Brussels, Belgium, or by email at info@tipaw.com.

The Adopter may also use the withdrawal form made available via the following link, although this is not mandatory.

In the event of a valid withdrawal, Tipaw will reimburse all payments received from the Adopter without undue delay and, in any event, no later than fourteen (14) days from the day on which Tipaw is informed of the decision to withdraw. The reimbursement will be made using the same means of payment as was used for the initial transaction, unless the Adopter expressly agrees otherwise, and at no cost to the Adopter.

The right of withdrawal does not apply to automatic subscription renewals. However, the Adopter remains free to cancel their subscription at any time in accordance with these Terms and Conditions, such cancellation taking effect at the end of the current subscription period.

9.2 Tipaw Pro Client

Clients must refer to the cancellation policy of veterinarians and groomers.

Article 10: Force Majeure

10.1 Adopter

In case of force majeure or reasons beyond Tipaw's control, services may be interrupted. Tipaw reserves the right - after notifying the Adopter - to suspend its services.

10.2 Tipaw Pro Client

In case of force majeure or reasons beyond Tipaw's control, services may be interrupted. Tipaw reserves the right - after notifying the Client - to suspend its services.

10.3 Breeder

In case of force majeure or reasons beyond Tipaw's control, services may be interrupted without the Breeder being entitled to a partial or total refund of the service price.

Article 11: Processing of Your Personal Data

Tipaw processes your personal data when you browse the site, but also when you create an account, respond to questionnaires, or make a reservation with a professional via our service connecting with professional veterinarians and groomers.

We always process your personal data in accordance with our Privacy Policy, available on our website.

Tipaw professionals will act as service providers for Tipaw. The professional will be called upon to process personal data entrusted to them through TIPAW, completely automatically. The professionals guarantee that they themselves comply with the applicable legal provisions on data protection (including GDPR - EU Regulation 2016/679). They undertake to process the data collected strictly within the limits of their mission and profession, and in compliance with applicable legal provisions. Professionals are not authorized to use third parties for the processing of personal data without the prior written consent of Tipaw. Professionals undertake, upon simple request from Tipaw or the individuals concerned by the personal data, to transmit, correct, update, delete, transfer, or limit in writing all personal data.

Article 12: Intellectual Property

The use of our Site and its content does not grant you any intellectual property rights over them, including Tipaw's software and all codes. "Intellectual property rights" include copyright, design rights, trademark rights, and all other intellectual property rights and material rights to the content of the site. Any content, including third-party trademarks, designs/models, and intellectual property rights mentioned or displayed on the Website, is protected by intellectual property and national laws and other provisions of international treaties. You may use the content expressly authorized by Tipaw and/or its third-party licensors. Any reproduction or redistribution of the above-mentioned content is prohibited and may result in civil and criminal penalties. Without any restriction from the foregoing, copying and use of the above-mentioned items to another server, location, or support for publication, reproduction, or distribution are strictly prohibited. However, you are authorized to make a copy for viewing the content for your personal use.

In addition to the intellectual property rights mentioned above, "Content" is defined as any graphics, photograph, including any image, sound, music, video, audio, or text available on the Website. Tipaw tries to ensure that the information on the Website is accurate.

Tipaw cannot promise that the content will always be accurate and free of errors. Tipaw also cannot guarantee that the functional aspects of the Website or the content are error-free, or that the content or the server that makes it available is free of viruses or other harmful elements. We always recommend to net users to ensure they have up-to-date antivirus software.

The personal opinions expressed by the Client Tipaw pros whose services we sell, or any other third party with whom we are associated, do not necessarily correspond to those of Tipaw, and we assume no responsibility for these opinions expressed in the media.

Article 12bis: Legal Conformity Guarantee for Digital Services

Tipaw undertakes to provide its digital services in accordance with the applicable legal provisions relating to the conformity of digital content and digital services.

Tipaw ensures that the platform is made available to users under normal operating conditions and implements the reasonable measures necessary to ensure its accessibility, security, and proper functioning.

In the event of a lack of conformity affecting the digital services provided by Tipaw, the Adopter or Tipaw Pro Client shall benefit from the rights provided under the applicable mandatory legal provisions, including those set out in Articles 1701/1 and following of the Civil Code.

This legal guarantee applies without prejudice to any other rights granted to consumers under applicable law.

Article 13: Liability

Breeders, Clients, and Adopters acknowledge and accept that Tipaw operates as a digital matchmaking platform. Within this framework, all obligations of Tipaw constitute obligations of means only.

Tipaw does not guarantee under any circumstances: the completion of an adoption, the availability of a specific puppy, a minimum number of applications, responses or matches, or compatibility between a Breeder and an Adopter.

Tipaw shall not be held liable for decisions made by Breeders or Adopters, nor for the consequences of communications, agreements, or contracts concluded between them.

Tipaw does not act as seller, buyer, breeder, importer, or owner of the animals presented on the platform. Agreements relating to the acquisition of a dog are concluded exclusively between the Breeder and the Adopter.

Tipaw shall only be liable for wilful misconduct or gross negligence, except where mandatory legal provisions provide otherwise.

Tipaw shall not be liable for indirect damages, including but not limited to loss of opportunity, moral damages, loss of data, financial loss, or reputational damage.

The contractual relationship with Tipaw shall automatically terminate in the event of bankruptcy, insolvency, or cessation of Tipaw’s activities, without any entitlement to compensation.

Tipaw reserves the right to freely determine how Breeders and professionals are presented on the platform.

Tipaw hosts content provided by Breeders and Tipaw Pro Clients. Tipaw does not edit such content and cannot be held responsible for its accuracy, legality, or relevance. Breeders and Tipaw Pro Clients are solely responsible for the information they publish.

Adopters and Breeders acknowledge that regulations relating to the sale, transport, importation, and keeping of animals may vary between countries and may evolve over time. They are solely responsible for verifying compliance with applicable legal and regulatory obligations.

Any information provided by Tipaw is for informational purposes only and does not constitute legal advice or a guarantee of compliance. Tipaw shall not be held liable for the consequences of non-compliance with applicable regulations.

Where a visitor does not create a user account, the Website is used solely for informational purposes. Tipaw shall not be held liable for any consequences resulting from such use.

Nothing in these Terms and Conditions limits the rights granted to consumers under mandatory applicable law.

Article 14: Applicable Law

These General Terms and Conditions of Sale, our other policies and procedures are governed by Belgian law and interpreted in accordance with it. The application of the Vienna Convention is expressly excluded.

All disputes arising out of or in connection with offers from Flipaw or agreements concluded with it are subject to the jurisdiction of the courts of the judicial district of Brussels.

Article 15: Subscription Duration

The subscription is concluded for the period selected by the Adopter at the time of subscription, as indicated at the time of payment.

Unless terminated, the subscription is automatically renewed for successive identical periods.

The Adopter may cancel their subscription at any time in accordance with these Terms and Conditions.

Article 16: Suspension / Termination by Tipaw

Tipaw reserves the right to temporarily or permanently suspend or terminate access to the services, without refund, in the event of non-payment, abuse, fraud, spam, breach of these Terms and Conditions, or use of the platform for purposes other than those intended.

Such suspension or termination may occur without prior notice in the event of a serious breach.
